What Is The National Business Register?

The federal government does not operate a national corporate registry and there is no requirement to register in a national business register for a business registered in a state. State statutes and state administration deal with all business registrations and operational requirements. States do maintain a formal registry of businesses and corporations. The name availability check for new business to register in a state is accomplished through this data base. United States Patent and Trademark Office and the Copyright Office have national registers for federally registered trademarks and copyrights.

Businesses are registered with state administrations and governed by the rules and regulations of the domicile state. Statutes governing business registration and conduct vary in each state. To register and conduct a business in a particular state, the state agency dealing with business should be consulted. Generally business registrations are handled by Secretary of State or Corporation Division offices. These offices keep records of all businesses registered in the state. To check name availability for registering a ‘Doing Business As’ name, states refer to these records.

Business structures are governed by state statutes. Forming an LLC or Corporation should be in accordance with the state statutes governing LLC’s and corporations. The basic requirement in all states for forming an LLC or a corporation is filing articles of organization or incorporation and paying the due fee filing it with the state. A ‘Doing Business As’ name is required for filing. The name must not be identical or closely similar to an existing business in the state. Some states provide a name availability check option while filing the articles. The name availability can be checked from other sources also. Internet is a good place to start. There are online directories that provide name availability checks for forming a new business in any state.
